Program Overview

The Basics

• • Your mission: assist Gopuff to acquire Referees by promoting Gopuff’s products and services to others through your personal email lists, websites or social media pages, in exchange for offers for discounts on Gopuff products and services.
• • Influencers and Referees will receive one reward for each successful referral/new account activation.
• • You may also receive, at Gopuff’s discretion, additional offers for discounts on Gopuff products and services.
• • You must be an active Gopuff customer to earn rewards for your referrals.
• • You need to sign up for the Referral Program by submitting your email address (this will also be your user ID), your name, your phone number, and accepting the Terms & Conditions of the program.
• • You cannot exceed $3,000 in rewards per calendar year.
• • You cannot promote your code through paid online ads such as Google Search Ads or Bing Search Ads
• • You cannot sell or resell Gopuff’s products or services.
• • Each referral credit will be applied to your account within 4 weeks after your referee places his/her first order.
• • Please allow up to 4 weeks after each successful referral for the service credit to be applied.
• • If further action is required for reward issuance, you must successfully complete the additional action within 30 days from the initial notification of request for further action to earn the reward otherwise the member will forfeit the pending reward.
• • To terminate your participation in Gopuff’s Influencer Program at any time, just send an email to Gopuff at Influencer@Gopuff.com

Terms & Conditions

• • Referred Customers You may refer eligible individuals to become new customers on the Gopuff Platform. In order to be eligible for a Referral Reward (defined below) for a new customer, the person must (i) have never previously created a Gopuff account; (ii) be at least 18 years old, (iii) be a resident in a market that Gopuff currently serves, and (iv) satisfy the applicable Reward Criteria, as discussed below. If these conditions are met, the person shall be considered your “Referred Customer.”
• • Invitations through the Gopuff Platform You may invite your family and friends to become new customers directly through the Gopuff Platform by entering or providing Gopuff with your invitee’s contact information (all information collected by Gopuff under the Referral Program shall be governed by Gopuff’s Privacy Policy). Inviting an individual through the Gopuff Platform may generate an automatic invitation text (SMS) or email (the “Invitation”) to the person which may be sent through your phone number or a number controlled by Gopuff. You represent that you have the necessary consent from your invitee to send them the Invitation (either directly or through the Gopuff Platform). If your invitee follows the links in your Invitation and creates a Gopuff account using the information provided, your Gopuff Code will be automatically applied on the new customer’s account or the new Driver’s application, as applicable.
• • Other Invitations You may also invite eligible individuals to become new customers by distributing your Gopuff Code directly and instructing them to manually input your Gopuff Code into the Gopuff App. A customer will not be able to apply your Gopuff Code if (i) they’ve already applied another customer’s Gopuff Code or a different promotion code, or (ii) they’ve already received Gopuff credit from Gopuff or another source on their customer account prior to entry of your Gopuff Code. If a customer does not enter your Gopuff Code you will not receive attribution for the referral and they will not be considered your Referred customer. Gopuff reserves the right to supply new customers with Gopuff credit or sign-on bonuses at its discretion.
• • Disclosures to Referrals You must disclose to all Referees that you are receiving compensation for any referrals that you make, which may include cash, discounts, Gopuff products and series, promotional items, or other items of value.

• • General You are eligible to earn a referral incentive (“Referral Reward”) for each Referee that you refer to the Gopuff Platform (subject to certain maximum limits and the other terms in these Referral Program Rules). Referral Rewards can only be earned for Referrals in the United States. As discussed above, in order to qualify as your Referee, the new customer must satisfy the applicable Reward Criteria. The Reward Criteria are set by Gopuff in its sole discretion and are subject to change at any time. The Reward Criteria may vary by market or within a particular market. Gopuff, at its sole discretion, may make available certain promotions with different Reward Criteria or Referral Rewards to other customers or prospective customers. These promotions, unless offered to you, shall have no bearing whatsoever on your Agreement or relationship with Gopuff.
• • Earning Rewards for Referred Customers New customers you refer may receive Gopuff credit upon creating their new Gopuff account (“Referral Credit”). Referral Credit is only valid for use on the Gopuff Platform and is not transferable or redeemable for cash. Referral Credit may contain certain restrictions such as expiration dates or geographical use limitations which will be communicated to the new customer. In order to satisfy the Referral Criteria, the referred customer must make their first Gopuff purchase before the Referral Credit expires, but in no event later than thirty (30) days from the creation of their Gopuff account. To be eligible for the launch promotion, new customers must place their first order during the promotional period. All terms and conditions for the distribution and use of Referral Credit are determined by Gopuff in its sole discretion.
• • Maximum Rewards for Referred Customers The maximum amount of Referral Rewards that Gopuff will pay for Referred customers is $3,000 (either in cash, Gopuff credit, or a combination of the two). You may not create multiple Gopuff accounts to circumvent the Referral Reward maximum, and Gopuff may withhold or deny any amounts above the maximum Referral Reward. Gopuff reserves the right to change this maximum amount, and it is your responsibility to review the Referral Program Rules for the current maximum limits.
• • Resolving Disputes over Referrals Only one person can earn a Referral Reward for a single Referred customer. In the event that multiple persons claim credit for a particular referral, Gopuff has full discretion to determine which person earned such referral according to Gopuff’s systems.
• • Reservation of rights Gopuff reserves the right to withhold or deduct Referral Rewards or Referral Credit obtained through the Referral Program in the event that Gopuff determines or believes that the receipt of the Referral Reward or Referral Credit was in error, fraudulent, illegal, or in violation of these Referral Program Rules or any other applicable agreement between you and Gopuff.

• • Mass emailing, texting or messaging people you do not personally know;
• • Use of automated systems or bots through any channel to distribute, post or respond to your Referral Code;
• • Use of scripts, programed or automatic dialers to send invites or to communicate Referral Codes;
• • Posting referral codes on event or venue pages without express permission from the owner; and
• • Posting referral codes on websites or social media pages that are not owned or maintained by you.

• • Impersonate any person or entity;
• • Create fake accounts, blogs, webpages, profiles, websites, links or messages;
• • Misrepresent your relationship with Gopuff or any other third party (Don’t create content or communications that could have the effect of leading a consumer to believe that it is an official communication from Gopuff.); or
• • Suggest that an affiliation or partnership exists with a third party where none exists. Don’t make misrepresentations with respect to the characteristics or qualification requirements for any referral rewards. You acknowledge that Gopuff may change the characteristics or qualification requirements for referral rewards in its discretion, and therefore you shall not represent any fixed characteristics (e.g., amount of Gopuff credit, expiration date).

• • Disparaging or defamatory content concerning Gopuff or third parties;
• • Content which promotes racism, bigotry, hatred, discrimination or physical harm of any kind against any group or individual;
• • Offensive, abusive, intimidating or harassing content;
• • Content that is sexually explicit, obscene and/or contains nudity;
• • Any political and/or religious statement;
• • Content containing images or reference to drugs, alcohol, tobacco, vaping, e-cigarettes, weapons or firearms; or
• • Content that violates someone else’s privacy.

• • Specify the monetary amount of the referral code unless authorized by Gopuff in writing;
• • Create websites, domains, URLs, social media handles or email addresses containing the word “Gopuff”;
• • Reproduce or use Gopuff’s name, logo, trademarks or other intellectual property without the prior written approval of Gopuff;
• • Use the names or marks of Gopuff competitors;
• • Use images of celebrities or other public or private figures without their written consent;
• • Use someone else’s brand name or intellectual property without their written consent (for example, referencing “Superbowl” or “Coachella” would be prohibited);
• • Engage in phishing or attempting to obtain financial or other personal information;
• • Solicit passwords or personally identifiable information;
• • Sell your Referral Code- you agree that you will only distribute your Gopuff Code free of charge only for promotional purposes. You may not sell, trade, or barter your Gopuff Code under any circumstances. You may not pay or provide anything of value to an invited user beyond any referral credit or collateral supplied by Gopuff;
• • Violate or infringe the rights of a third part - You will not create any Gopuff Code that infringes on the intellectual property rights of any third party;
• • Advertise -- You agree that you will not pay to advertise your Gopuff Code or the Referral Program, including via Google, Facebook, Twitter, Bing and Craigslist;
• • Create printed materials other than those authorized by Gopuff (including but not limited to: VistaPrint);
• • Post printed materials on public or private property without the express written consent;
• • Engage in fraudulent activity -- You agree that you and your referrals will not defraud or abuse (or attempt to defraud or abuse) Gopuff, the terms of the Gopuff Referral Program, or any invited users.; or
• • Act as a brand ambassador or influencer, or otherwise promote, any product or service that competes with Gopuff.
• • Minimum order value may be required for both Influencer and Referee.
• • Only one referral credit can be used per order for both the Influencer and the Referee.

Other Terms

• • Customers cannot earn Referral Rewards for referring themselves.
• • In exchange for allowing you to promote your Gopuff Code online (subject to the restrictions above), you agree to include a link on any such promotion page back to Gopuff’s promotion page (or such other page as Gopuff designates).
• • All Gopuff promotions run for a limited time only and are subject to change at Gopuff’s discretion.
• • Information and materials provided to you by Gopuff, including details of the Influencer program and its terms and conditions, may contain confidential and proprietary information of Gopuff. You agree that you will not, without the express written consent of Gopuff, use, disclose or reproduce any such materials other than as required you’re your participation in Gopuff’s Influencer Program.
• • You agree to indemnify, defend, and hold harmless Gopuff and its affiliates from and against any and all losses, claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) to the extent they are caused by your actions or omissions and not by Gopuff’s gross negligence or willful misconduct. Under no circumstances will Gopuff be liable to you for (1) any incidental, indirect, consequential or punitive damages, or any loss of revenue or profit, that results from my participation in Gopuff’s Influencer Program, or (2) any amount in excess of $2,500.
• • You agree that participation in the Referral Program is subject to acceptance by Gopuff. Gopuff may terminate your participation if, in Gopuff’s sole discretion, you fail to comply with the requirements of Gopuff’s Referral Program (including these Terms and Conditions).
• • Gopuff may change, amend or discontinue its Referral Program at any time, without notice, at its sole discretion.
• • Gopuff’s Referral Program (including these Terms and Conditions) shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania (without regard to its conflicts of laws principles).
